Host Jeffrey Hayzlett sat down with Ben Gordon, Managing Partner, Cambridge Capital, Eric Wilhelm, CEO, Coregistics, and William P. Stubbs, Jr from Stubbs Law Firm, LLC at the CPA Annual Meeting in New Orleans to discuss the acquisition process within the contract packaging industry and what needs to get done when the time for being sold comes. Hayzlett asked them about what to tell company owners before they sell the business and Stubbs said this is the best time to be in business because of the tax act. He adds the tax act means businesses can acquire machinery and take a depreciation deduction for $1 million. This gives people who are struggling more latitude because the tax and regulatory burdens have been lifted. Stubbs advises that, "You want to sell when things are going up because once the cycle goes down, in any industry, you can't sell for anything you could've had before." Wilhelm suggests owners should liquify some of the net worth they have on paper. Also, Stubbs added to separate real estate from the rest of the company, as real estate will typically sell for up to twelve times higher; while Gordon says to "begin with the end in mind." He says you should ask yourself who's the buyer that is going to care the most about my business and also research what other companies they've bought, how do they stack up, and find out what they care about.
